Company Secretary

Job Summary:

Responsible for all areas of secretarial compliance, legal agreements

Key Roles and Responsibilities:

  • Convening and Servicing Board Meetings, Annual general meetings (AGMs)/meetings (producing agendas, taking minutes, conveying decisions, handling meeting correspondence and so on)
  • Providing legal, financial and/or strategic advice during and outside of meetings
  • Keeping up to date with any regulatory or statutory changes and policies that might affect the organization
  • Preparation of Minute books, board resolution and other Statutory Registers under Companies Act’2013
  • Implementing processes or systems to help ensure good management of the organisation or compliance with legislation
  • Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • To guide the Directors about their Responsibilities and duties.
  • To be a liaison between the Company and the Stakeholders.
  • To do all such duties as assigned by the Board
  • To advice the Board of Directors of their legal obligations.

Skills and Experience:

  • Bachelor’s degree in Accounting/Finance/Commerce or relevant field
  • CS qualified
  • Excellent knowledge of MS Office and familiarity with accounting software
  • Good understanding of accounting and financial reporting principles and practices
  • Exposure to Tax Audit, Statutory Audit and Internal Audit
  • Excellent organizing abilities
  • High attention to detail and accuracy
  • Numerical aptitude and strong analytical skills
  • Ability to take initiative and handle concurrent tasks with appropriate priority
  • Strong collaboration skills
  • Ability to maintain discretion and confidentiality
